JOB SUMMARY
Your main responsibilities include working on-site as a member of the Absolics Legal Department providing general corporate and commercial legal services to assist in achieving business goals while minimizing undue risk. Provide creative and cost-effective support and advice to in-house clients in operations, facilities, EHS, supply chain, finance, and human resources team. Work involves a wide variety of areas including corporate policies and standard operating procedures; commercial contract drafting and negotiation; intellectual property and trade secret protection; export, privacy, and other regulatory compliance; dispute resolution; investigations and corporate compliance matters.
DUTIES/RESPONSIBILITIES:
• Draft, review, and negotiate customer and vendor contracts, including purchase and sale agreements, service agreements, license agreements, and lease agreements;
• Manage and resolve disputes and investigations, including disputes with commercial parties, government investigations, labor arbitrations and litigation;
• Assist with special corporate projects, including financing and M&A;
• Assist with corporate governance matters, including the preparation of board resolutions and policies as well as advising on governance agreements;
• Implement, monitor, and enhance e.thics and compliance programs with the goal of enabling and driving compliant e.thical business conduct in various compliance areas (e.g. EHS, labor, privacy laws);
• Interface with and manage local outside counsel;
• Perform legal analysis/research and recommend appropriate strategies to senior management;
• Liaise with stakeholders legal counsels as needed;
EXPERIENCE:
• Experience in providing legal advice at or for manufacturing companies
• Experience leading negotiations with business partners and coordinating external legal counsels across complex and multifaceted legal issues
EDUCATION:
• J.D. degree (or an equivalent degree) and membership in at least one U.S. state bar
• Working level proficiency in Korean
